Terms of Service
Effective date: 22 July 2026
These Terms of Service ("Terms") govern your access to and use of Certify, a SharePoint workflow automation platform ("Certify", the "Service") provided by DevPro Studio Pty Ltd ("DevPro Studio", "we", "us"). By installing, accessing, or using the Service you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
1. The Service
Certify lets your organisation define and run automated workflows — emails, approvals, field updates, file operations and notifications — on top of your own Microsoft 365 / SharePoint Online environment. Workflows are configured by your administrators through a SharePoint-hosted designer and executed by our central workflow engine.
Your business data stays in your tenant. Certify operates on a "no data at rest" basis for your business content: documents, list items and similar records remain inside your own SharePoint Online tenancy. We process that content transiently in order to execute the workflow actions you configure, and we do not retain copies of it beyond what is needed to run and audit a workflow. See the Privacy Policy for detail on what we do store.
2. Accounts and access
- Connecting Certify to your tenant requires a Microsoft Entra administrator to grant consent to the Certify application. You are responsible for the accuracy of the information provided during onboarding and for managing who in your organisation has access.
- You are responsible for all activity that occurs under your accounts and for keeping credentials secure. Notify us promptly of any unauthorised use.
- Access to the platform administration portal is limited to authorised DevPro Studio staff and to the users your organisation designates.
3. Acceptable use
You agree not to, and not to permit any user to:
- use the Service in breach of any applicable law or third-party right;
- upload or process content that is unlawful, infringing, or malicious;
- attempt to gain unauthorised access to the Service, other customers' tenants, or the underlying infrastructure;
- probe, scan, or test the vulnerability of the Service except as expressly authorised in writing;
- interfere with or disrupt the integrity or performance of the Service, or circumvent any usage limits, rate limits, or quotas.
4. Customer responsibilities
You are responsible for the workflows you build and the actions they perform within your tenant, including the emails they send, the items they create or modify, and the files they move, share, or delete. You are responsible for ensuring your use of the Service — and the data you route through it — complies with your own legal and contractual obligations, including any data-protection and records-management requirements that apply to you.
5. Microsoft 365 and third-party services
Certify relies on Microsoft 365, SharePoint Online, and Microsoft Entra ID. Your use of those services is governed by your agreement with Microsoft. We are not responsible for the availability, security, or performance of third-party services, and changes Microsoft makes to its APIs or policies may affect the Service.
6. Artificial intelligence features
Certify includes optional AI-assisted features (for example, generating a draft workflow from a natural-language description). When you use these features, the text you submit is sent to our AI provider to produce a result. Prompts are used solely to generate that result and are not used to train the provider's models. Do not submit secrets or sensitive personal information in AI prompts. AI output may be inaccurate or incomplete; you are responsible for reviewing it before relying on it.
7. Availability and changes
We aim to keep the Service available but do not warrant uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and we may perform maintenance that temporarily affects availability. We will use reasonable efforts to give notice of material changes.
8. Fees
Fees, billing cycles, and any usage allowances are as set out in your order or subscription arrangement with DevPro Studio. Unless that arrangement says otherwise, fees are non-refundable and exclusive of applicable taxes.
9. Microsoft commercial marketplace purchases
If you acquire the Service through the Microsoft commercial marketplace (including Microsoft AppSource), the purchase and billing transaction is handled by Microsoft and governed by the marketplace terms you accept at the point of purchase. Your use of the Service itself remains governed by these Terms unless a separate agreement between you and DevPro Studio applies.
10. Intellectual property
The Service, including its software, designer, engine, and documentation, is owned by DevPro Studio and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights in your own content and configurations.
11. Confidentiality
Each party may receive information that is confidential to the other. The receiving party will protect that information and use it only to perform under these Terms, except where disclosure is required by law.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes rights you have under applicable consumer law (including the Australian Consumer Law) that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our aggregate liability arising out of or related to the Service will not exceed the fees you paid for the Service in the twelve months before the event giving rise to the claim.
14. Indemnity
You will indemnify and hold DevPro Studio harmless from claims arising out of your content, your workflows, or your use of the Service in breach of these Terms or applicable law.
15. Suspension and termination
We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or other customers. You may stop using the Service at any time by revoking the Certify application's consent in your Microsoft Entra tenant. On termination, the rights granted under these Terms cease; provisions that by their nature should survive (including sections 10–14) will survive.
On termination of your subscription, we will — on written request — return or delete the operational data we hold for your organisation (workflow definitions, run history, audit records, and account data) and in any event delete it within 30 days, except for records we are required by law to retain. Your business content is unaffected: it never left your own Microsoft 365 tenancy.
16. Governing law
These Terms are governed by the laws of New South Wales, Australia, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, without affecting any non-excludable statutory rights.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, for material changes, take reasonable steps to notify you. Continued use of the Service after a change takes effect constitutes acceptance.
